1. Introduction & Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between CAGS TOBACCO AND TOBACCO PRODUCTS INDUSTRY AND TRADE JOINT STOCK COMPANY ("CAGS", "we", "us", or "our") and any business entity, distributor, wholesaler, or trading partner ("Buyer" or "you") that accesses our website at www.cagsgrp.com, places an enquiry, or enters into a commercial transaction with CAGS.

By accessing our website or submitting a business enquiry, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, you must cease use of our website immediately.

CAGS reserves the right to amend these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after the effective date of any update constitutes acceptance of the revised Terms.

2. About CAGS — Company Overview

CAGS is a registered tobacco industry company headquartered in Istanbul, Turkey. We are a global B2B manufacturer and distributor of the following product categories:

• Rolling Papers (RYO/MYO)
• Cigarette Tubes and Filters
• Shisha / Hookah Tobacco
• RYO / MYO Tobacco Products
• Smoking Accessories and Related Products
• Private Label Manufacturing Solutions

All products are manufactured and distributed for business-to-business (B2B) trade only. CAGS does not sell directly to individual consumers.

3. Eligibility & Age Restriction

By using this website and engaging with CAGS, you represent and warrant that:

• You are a legally registered business entity, authorised distributor, or licensed trading partner.
• You are at least 18 years of age and are acting in a professional business capacity.
• You hold all applicable licences, permits, and regulatory approvals required to import, distribute, and/or sell tobacco products in your jurisdiction.
• You will not use CAGS products for resale to individuals under the legal minimum age for tobacco products in your market.

CAGS strictly prohibits the use of its products or services by any person under 18 years of age. Any person under 18 must immediately cease use of this website.

4. Products & Orders

4.1 Product Descriptions

All product descriptions, specifications, images, and pricing information on www.cagsgrp.com are provided for informational purposes. While CAGS endeavours to ensure accuracy, minor variations may occur. Product availability is subject to change without notice.

4.2 Order Placement

All orders are subject to:

• Written confirmation from CAGS via email or official order acknowledgement.
• Satisfactory completion of KYC (Know Your Customer) and compliance verification procedures.
• Confirmation that the Buyer holds all required regulatory licences for the ordered products.
• Acceptance of minimum order quantities (MOQs) applicable to the relevant product category.

4.3 Order Acceptance

No order shall be deemed accepted until CAGS issues a formal written order confirmation. CAGS reserves the right to decline any order at its sole discretion, including but not limited to reasons of regulatory compliance, licensing concerns, or credit risk.

4.4 Pricing

All prices are quoted in the currency agreed upon in the relevant commercial transaction and are exclusive of taxes, duties, customs charges, freight, and insurance unless expressly stated otherwise. CAGS reserves the right to adjust pricing at any time prior to order confirmation.

5. Payment Terms

Payment terms are agreed individually for each Buyer and confirmed in the relevant Proforma Invoice or Sales Contract.

• Standard payment terms include: Advance Payment (T/T), Letter of Credit (L/C) at sight, or Documentary Collection (D/P), as agreed.
• Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
• CAGS reserves the right to suspend shipments for accounts with outstanding overdue balances.
• All bank charges, transfer fees, and currency conversion costs are the sole responsibility of the Buyer.

6. Shipping, Delivery & Incoterms

• All shipments are made under the Incoterms agreed in the applicable Sales Contract or Proforma Invoice. Common terms used by CAGS include FOB Istanbul, CIF, CFR, and EXW.
• Estimated delivery times are provided in good faith but are not guaranteed. CAGS is not liable for delays caused by carriers, customs authorities, or force majeure events.
• Risk of loss passes to the Buyer at the point agreed under the applicable Incoterms.
• CAGS will provide all required export documentation, including commercial invoice, packing list, certificate of origin, and any other agreed trade documents.
• Import duties, customs clearance fees, and local taxes in the destination country are the sole responsibility of the Buyer.

7. Returns, Cancellations & Refunds

Given the nature of regulated tobacco products and international B2B trade, the following policy applies:

• Orders confirmed in writing may not be cancelled without CAGS's express written consent and may be subject to a cancellation fee of up to 20% of the order value.
• Returns are accepted only in cases of documented manufacturing defects, shipping damage, or material discrepancy from the agreed product specifications.
• All return claims must be submitted in writing to info@cagstobacco.com within 14 days of the confirmed delivery date, supported by photographic evidence and a detailed description of the issue.
• CAGS will inspect all return claims and, if approved, will offer a replacement shipment or credit note at its discretion.
• Refunds to the original payment method are issued only in exceptional circumstances and are subject to CAGS management approval.

8. Regulatory Compliance & Licensing

CAGS operates in full compliance with all applicable Turkish, EU, and international regulations governing the manufacture and export of tobacco products. As a Buyer, you agree to:

• Hold and maintain all required import, distribution, and resale licences for tobacco products in your jurisdiction.
• Comply with all applicable health warnings, labelling, and packaging regulations in your destination market.
• Not resell CAGS products in any market where the import, sale, or distribution of such products is prohibited by law.
• Indemnify and hold CAGS harmless from any regulatory fines, penalties, or legal proceedings arising from your failure to comply with applicable laws in your jurisdiction.

CAGS reserves the right to request copies of relevant licences and permits before processing any order.

9. Intellectual Property

All intellectual property rights in CAGS's website, brand, trademarks, product designs, catalogues, and marketing materials are the exclusive property of CAGS. You are not permitted to:

• Reproduce, copy, distribute, or commercially exploit any CAGS content without prior written consent.
• Use CAGS trademarks or branding in any way that implies endorsement or affiliation without authorisation.
• Reverse engineer or attempt to replicate CAGS proprietary product formulations or designs.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CAGS's total liability to any Buyer shall not exceed the total value of the specific order giving rise to the claim. In no event shall CAGS be liable for:

• Indirect, consequential, incidental, special, or punitive damages of any kind.
• Loss of profit, revenue, business opportunity, or goodwill.
• Regulatory penalties arising from the Buyer's non-compliance with local laws.
• Delays or failures caused by carriers, customs, force majeure, or other events beyond CAGS's reasonable control.

11. Confidentiality

Both parties agree to keep confidential all proprietary business information, pricing, trade secrets, and strategic data exchanged in connection with any commercial relationship. This obligation survives the termination of any agreement between the parties for a period of 5 years.

12. Governing Law & Dispute Resolution

These Terms and any disputes arising from them shall be governed by the laws of the Republic of Turkey. Any disputes shall first be attempted to be resolved through good-faith negotiation. Failing resolution, disputes shall be referred to the Istanbul Arbitration Centre (ISTAC) for binding arbitration, conducted in English.

13. Website Use

You agree to use www.cagsgrp.com only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Introduce viruses, malware, or any harmful code to our systems.
• Attempt to gain unauthorised access to any part of our website or systems.
• Use automated tools, scrapers, or bots to extract data from our website.
• Post or transmit any unlawful, defamatory, or misleading content through our website.
